Security token issuance blends corporate and securities law. Here is how to choose counsel who can actually cover both.
Look for both halves
Issuance needs corporate formation and securities-law experience. A team strong in only one will leave gaps in the other.
Ask how prior offerings were structured end to end, not just which exemption was filed.
Ask about the plumbing
Counsel should understand transfer agents, whitelists, and how tokens move. The legal advice has to survive contact with the technology.
If a lawyer hands you a generic securities memo with no token specifics, that is a signal.
Scope the relationship
Issuance is not a one-meeting job. Confirm who handles ongoing reporting and who you call when something breaks.
